Terms of services

1. Introduction

(a) These terms (“Customer Terms & Conditions”) will apply when as a Customer youhave subscribed to HowNow +. Please note these terms are in addition to the HowNow Licence Terms & Conditions

(b) When reference is made to “we” or “us” or “our” in these Customer Terms &Conditions, it means HowNow (Wonderush Limited). When reference is made to “you”or “your” in these terms, it means the Customer.

(c) Where there is any inconsistency between these Customer Terms & Conditions and the Commercial Agreement or HowNow Licence Terms & Conditions, the terms and conditions of the Commercial Agreement or HowNow Licence Terms & Conditions (as the case may be) prevail over these Terms & Conditions to the extent of the inconsistency.

2. Services

(a) The services to be provided are as described here.

(b) We may update or modify the Courses, Materials, or Services, or discontinue their availability at any time, in accordance with our separate arrangements with the Content Partners.

(c) In circumstances where Courses or Materials have been updated, modified, or discontinued, and this results in unavailability of the Courses or Materials, HowNow will use commercially reasonable efforts, to source replacement Courses or Materials.

3. Licence for HowNow+ Content

(a) We grant you a limited, revocable, non-exclusive, non-transferable licence for theTerm to access and use the HowNow+ Content (subject to all the required Fees being paid by you in accordance with these Customer Terms), solely for the purpose of the education or training of you or your Users through the HowNow digital learning platform, in accordance with the HowNow Licence Terms and Conditions.

(b) All other uses are prohibited without our written consent.

(c) Without limiting clause 5.4(b), you must not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, licence, or otherwise transfer or use any HowNow+ Content, in whole or in part, other than asexpressly authorised under these Customer Terms and Conditions or as separately authorised by us in writing.

4. Fees and Payment Terms

You must pay the applicable fee as per the payment terms set out on the Commercial Agreement.
